Companies Bill, 2007
Conference on South African Company Law for the 21st Century, Pretoria, 19 March 2007.
The Bill represents a significant departure from the existing
statute and sets out to modernise the Companies Act of 1973,
aligning it with international jurisdictions and post-1994
South Africa. The Bill also reduces the cost of registering
and maintaining a company and the regulatory burden and
compliance costs for small and medium-sized businesses,
while enhancing corporate governance,
transparency and accountability of large and widely-held firms.
It will also result in improved regulatory oversight and better
redress for shareholders. Significantly, the Bill introduces
a new business rescue scheme that will facilitate the turnaround
of struggling firms.
